Agreement to Terms

Welcome to AutoProductAI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AutoProductAI ("Company," "we," "us," or "our") governing your access to and use of our AI-powered product content generation platform, including our website, applications, and all related services (collectively, the "Service").

Description of Service

AutoProductAI provides an AI-powered platform for generating e-commerce product content, including but not limited to:

• AI-generated product descriptions (short and detailed)
• SEO-optimized titles, meta descriptions, and keywords
• Product data extraction via SKU, barcode, or URL lookup
• AI Product Scout - web scraping and product data consolidation
• Multi-language content generation and translation
• Bulk product processing and batch operations
• AI-powered image generation
• Export functionality to various e-commerce platforms
• Cloud file storage for product images and documents

The Service utilizes third-party artificial intelligence providers and web scraping services to deliver its functionality.

WordPress Plugin

The AutoProductAI WordPress plugin (“AutoProductAI for WooCommerce”) provides access to the Service features directly from your WooCommerce store. The following terms apply to plugin usage:

• Same Terms Apply: Plugin usage is subject to the same credit system, usage limits, storage limits, content responsibilities, and acceptable use policies as the web platform.
• License: The plugin is licensed under GPL-2.0-or-later. You may use, modify, and distribute the plugin in accordance with this license.
• API Authentication: The plugin requires a valid API key linked to your AutoProductAI account. You are responsible for keeping your API key secure and must not share it with unauthorized parties.
• Credit Consumption: All operations performed through the plugin (SKU lookups, URL imports, AI generation, Product Scout, image generation) consume credits from your account at the same rates as the web platform.
• Data Transmission: The plugin transmits product data and site information to our servers for processing. See our Privacy Policy for details on data handling.
• No Warranty: The plugin is provided “as is” without warranty of any kind. We are not liable for any issues arising from plugin installation, conflicts with other plugins, or WordPress compatibility.

Account Registration and Responsibilities

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access
• Not share your account credentials with others
• Not create multiple accounts for fraudulent purposes

You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

Payment Terms and Credits

Credit System

Our Service operates on a credit-based system. Credits are consumed when you use AI features. Credit costs vary by feature and complexity:

• Product Description Generation: Variable credits based on AI model used
• SEO Content Generation: Variable credits based on content length
• AI Product Scout: Dynamic credits based on data extraction complexity
• AI Image Generation: Additional credits per image
• Batch Processing: Credits calculated per item processed

Credit Types and Expiry

There are two types of credits, each with different expiry rules:

Important: Credit costs are displayed before each operation. When credits are consumed, subscription credits are used first, then purchased credits.

Subscription Plans and Billing

• All purchases are processed through secure third-party payment processors (Stripe)
• Prices are displayed in Euros (EUR) unless otherwise specified
• All prices are exclusive of applicable taxes unless stated otherwise
• Subscriptions are available on monthly or annual billing cycles
• Annual plans are billed upfront for the full year at a discounted rate
• Subscriptions renew automatically unless cancelled before the renewal date
• You authorize us to charge your payment method for purchases
• We will provide at least 30 days' notice before any price changes take effect. Continued use after the effective date constitutes acceptance of the new pricing

Plan Upgrades and Downgrades

• Upgrades: When you upgrade your plan, your subscription credits are immediately reset to the new plan's monthly amount. The price difference is prorated for the remainder of your billing cycle.
• Downgrades: Downgrades take effect at the start of your next billing cycle. You retain your current plan's features until then.
• Annual to Monthly: Switching from annual to monthly billing takes effect at the end of your current annual term.
• Purchased credits are never affected by plan changes — they remain in your account regardless of your subscription status.

Refund Policy

Due to the nature of digital services and AI processing, credit purchases are generally non-refundable once credits have been added to your account. Refunds may be considered on a case-by-case basis at our sole discretion.

Refund requests must be submitted within 14 days of purchase to [email protected]. Include your account email, transaction ID, and reason for the request. Refunds are processed within 5-10 business days to the original payment method.

Storage Limits

Each subscription plan includes a specific amount of cloud file storage for product images, AI-generated images, documents, and other uploaded files:

• Plan-Based Limits: Your storage allocation depends on your subscription plan. Current storage limits for each plan are displayed on our Pricing page.
• Enforcement: When your storage limit is reached, you will be unable to upload new files or generate new images until you free up space or upgrade to a plan with a higher storage allocation.
• Background Processing: If your storage limit is reached during a background operation (e.g., batch product generation), the product data will still be processed and saved, but image storage may be skipped to avoid data loss.
• Monitoring: You can view your current storage usage and limit at any time in your account dashboard under Usage Statistics.
• No Rollover: Storage limits are a capacity allocation, not a consumable. Your storage limit does not accumulate or roll over — it reflects the maximum amount of data you can store at any given time.
• Downgrade Impact: If you downgrade to a plan with a lower storage limit and your current usage exceeds the new limit, you will not lose existing files. However, you will be unable to upload new files until your usage is below the new limit.

Data Scraping & Import Compliance

Your Responsibilities

When using our URL import, SKU lookup, or AI Product Scout features, you agree to:

• Ensure you have permission to access and use data from source websites
• Comply with the terms of service of any website you import data from
• Respect robots.txt files and access restrictions
• Not scrape copyrighted content without proper authorization
• Use scraped data as structure only - rewrite all content before use
• Not use the Service to scrape login-protected or paywalled content
• Verify and edit all imported data before publishing

Our Approach

• We only access publicly available data
• We implement rate limiting and respectful scraping practices
• We do not store login credentials for scraping purposes
• We transform and restructure data rather than copying verbatim
• We respect website access restrictions and rate limits

Disclaimer & Indemnification

You are solely responsible for ensuring your use of scraped or imported data complies with applicable laws and third-party rights. We are not liable for any claims arising from your misuse of scraped data. You agree to indemnify and hold harmless AutoProductAI from any claims, damages, or legal actions resulting from your use of imported or scraped content.

AI-Generated Content Disclaimer

Your Responsibilities

• Review and edit ALL AI-generated content before publishing or using
• Verify product specifications, prices, and technical details
• Do not rely solely on AI output for critical business decisions
• Ensure generated content complies with advertising and consumer protection laws
• Check generated content for accuracy, appropriateness, and brand alignment

No Guarantees

We do not guarantee that AI-generated content will be:

• Accurate, complete, or error-free
• Unique or original to you
• Suitable for your specific needs or purposes
• Free from bias or inappropriate content
• Compliant with any specific regulations or standards

You are solely responsible for all content you publish, regardless of whether it was AI-generated. We accept no liability for damages arising from your use of AI-generated content.

Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate content that is illegal, harmful, threatening, abusive, defamatory, or obscene
• Create misleading, false, or deceptive product information
• Infringe on intellectual property rights of others
• Scrape copyrighted content without permission
• Generate counterfeit or fraudulent product listings
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service beyond normal usage
• Resell, redistribute, or sublicense the Service without authorization
• Circumvent any security measures, credit limits, storage limits, or access controls
• Use the Service to compete directly with AutoProductAI
• Generate content promoting illegal products or services
• Reverse engineer or attempt to extract source code

We reserve the right to suspend or terminate accounts that violate this policy without refund.

Intellectual Property Rights

Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by AutoProductAI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission. Any feedback, suggestions, or improvements you provide become our property without compensation.

Your Content

You retain ownership of the content you input into the Service (product data, images, etc.). By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service. You warrant that you have all necessary rights to the content you submit.

Generated Content

Content generated by the AI through our Service is provided to you for your commercial use under a non-exclusive license. You are responsible for reviewing and editing generated content before use. We make no claims of ownership over AI-generated content, but we also make no guarantees regarding its originality, accuracy, or fitness for any particular purpose. Generated content may not be unique to you - similar outputs may be provided to other users.

Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE SERVICE
• WARRANTIES THAT SCRAPED DATA WILL BE ACCURATE OR COMPLETE

Third-Party Services: Our Service relies on third-party providers (AI services, payment processors, etc.) that may experience outages, changes, or discontinuation. We are not responsible for the availability or performance of third-party services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL AUTOPRODUCTAI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM YOUR USE OF AI-GENERATED CONTENT
• WE ARE NOT LIABLE FOR YOUR USE OR MISUSE OF SCRAPED DATA
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, PRODUCTS, OR SERVICES

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless AutoProductAI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your use or misuse of AI-generated content
• Your use or misuse of scraped or imported data
• Any content you submit to or through the Service
• Claims from websites you have scraped data from

Termination

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature. Cancellation is effective at the end of your current billing period. Unused subscription credits are non-refundable upon voluntary termination. Purchased credit pack credits will be forfeited upon account deletion.

Termination by Us: We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of the Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Extended period of inactivity
• At our sole discretion for any reason

Upon termination, your right to use the Service will cease immediately. We may delete your account data, including all stored files, in accordance with our Privacy Policy. We may discontinue the Service entirely with 30-day advance notice.

Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Change pricing, features, storage limits, or credit costs with at least 30 days' notice
• Perform maintenance that may temporarily affect availability
• Limit certain features or access based on geographic location

We will endeavor to provide notice of significant changes, but are not obligated to do so for routine updates or emergency maintenance.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Greece and applicable European Union law, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve disputes informally.
• Jurisdiction: If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Greece.
• EU Consumers: If you are an EU consumer, you may also have the right to use the European Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).

Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on the Service, updating the "Last updated" date, and sending an email notification for significant changes. Your continued use of the Service after the notice period constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service before the changes take effect.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices published on the Service, constitute the entire agreement between you and AutoProductAI concerning the Service and supersede all prior agreements and understandings.
